Terms of Service
These Terms govern your access to and use of Vibely, operated by Mana Intelligence Private Limited (India). Please read them carefully — they describe what we owe each other and how the service works.
1. Acceptance and how this contract is formed
You accept these Terms when you create a Vibely account. The sign-up screen tells you that continuing means you agree to these Terms and to our Privacy Policy, and links to both; clicking through to create the account is your acceptance. There is no separate signature and none is needed.
"We", "us" and "Vibely" in these Terms all mean Mana Intelligence Private Limited, CIN U62013TS2026PTC210050, the company named under “India: the disclosures the E-Commerce Rules require” below. That is the party you are contracting with, the party every promise here is made by, and the party every limit here protects. Where a sentence describes what Vibely does, costs or generates, it is describing the service that company operates.
If you accept on behalf of a company or any other organisation, you confirm you are authorised to bind it, and "you" in these Terms means that organisation as well as you.
Every period of days in these Terms is counted in calendar days, from the day after the event that starts it, unless the sentence says business days. A business day is a day banks are open in Hyderabad, India.
We change these Terms from time to time. Using Vibely after a change takes effect is acceptance of the changed version. How much notice you get before that happens, and what you can do if you object, is in "Changes to these Terms" below.
2. Eligibility
You must be at least 18 years old to create an account and enter into these Terms. Under the Indian Contract Act, 1872, a contract with a person under 18 is void. If you are under 18, you may not use Vibely.
3. Documents that form part of these Terms
These Terms incorporate the documents below. Each is part of your contract with us, and agreeing to these Terms means agreeing to all of them. A page not listed here is information, not contract.
- Acceptable Use Policy — what you may not build, publish, or do.
- Privacy Policy — what personal data we hold and what we do with it.
- Data Processing Agreement — our Article 28 terms for personal data you process through Vibely. It applies without signature.
- Product Terms — plans, credit metering, publishing, custom domains, and native mobile builds.
- Service Level Agreement — the availability commitment, and the service credits that are its only remedy.
- Domain Registration Terms — connecting or registering a domain.
- Beta Feature Terms — anything labelled beta, preview, or experimental.
- Support Policy — channels, hours, and first-response targets.
- Definitions — Credits, Workspace, Order, Published App and the rest, defined once and used the same way in every Vibely agreement.
- Enterprise Terms — only where we have both signed an Order form. They override these Terms for the term of that Order, as "Order of precedence" below sets out.
4. Order of precedence
Where these documents disagree, this is the order:
- An Order form signed by both parties, for the term of that Order.
- The Enterprise Terms, where such an Order exists.
- The Data Processing Agreement — but only on data-protection subject matter. On everything else these Terms govern, unchanged. Where the EU Standard Contractual Clauses or the UK Addendum apply, their own governing law and forum clauses control over both documents.
- These Terms of Service.
- The other policies listed above.
- The documentation at docs.vibely.sh.
5. Your account
You are responsible for all activity under your account, for keeping your credentials confidential, and for promptly notifying us of any unauthorized access. Accounts are personal and non-transferable.
6. Your licence to use Vibely, and acceptable use
For as long as your account is open and in good standing, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use Vibely for your own purposes — building, previewing, and publishing your own projects. That is the whole of the licence. We keep every other right in the platform, our software, and our trademarks.
Everything else you must not do is in the Acceptable Use Policy, which forms part of these Terms. Breaking a restriction below, or that policy, ends this licence and lets us suspend or terminate the account.
Within that licence, you must not:
- Resell, rent, sublicense, or otherwise make Vibely available to anyone else as a service of your own. Building apps for your own clients inside your workspace is fine; reselling access to Vibely itself is not.
- Copy, reverse engineer, decompile, or try to derive the source code, models, or system prompts behind the service, except to the extent that restriction is void under the law that applies to you.
- Circumvent a limit, quota, paywall, or plan gate, or use automation to obtain credits or capacity you did not pay for.
- Remove or obscure any notice of ownership in the platform or in anything we supply with it.
7. Your content
You retain ownership of the prompts you submit and the code, designs, and projects Vibely generates for you. "Your content" in these Terms means both: what you put in, and what the service generates for you from it.
You promise us that you hold the rights to everything you submit — your prompts, your files, your images, your data, and anything you paste in from somewhere else — and that our using it to run the service for you breaks nobody else's rights and no law. This is the one warranty you give us, and it is the basis on which we host and publish what you make.
Two things we do not promise about generated output. It is not exclusive: the same prompt can produce near-identical output for someone else, and we neither claim nor grant exclusivity over it. And the AI models we call are third-party models, so we cannot and do not warrant that their output is free of somebody else's intellectual property rights. Review output before you ship it — the section below says the same about defects.
You grant Vibely a worldwide, royalty-free license to host, store, copy, transmit, and display your content solely to operate the service for you — including hosting and serving a Published App on a subdomain of vibelyagent.com or on a domain you connect. This license ends when you delete your content or close your account.
8. You are working with an AI, and what that means for you
Everything Vibely builds for you — the code, the designs, the copy, the explanations in the chat — is generated by third-party AI models. It is not written by a person and no person at Vibely reads it before it reaches you. The model providers we send your prompts and project content to are listed in Annex 3 of our Data Processing Agreement.
AI models get things wrong in specific ways, and you should expect all of these: code that runs but does the wrong thing; calls to libraries or APIs that do not exist or have changed; insecure defaults, such as a missing permission check or an over-broad database rule; out-of-date patterns; and text that reads confidently and is simply false. An answer sounding certain is not evidence that it is right.
Before you publish anything a Vibely agent built, check it yourself. At a minimum: that it does what you actually meant; that sign-in and access control keep one user out of another user's data; that no API key, token or secret has been written into code that ships to the browser; that what users type is validated on the server and not only in the UI; and the licence of any dependency the agent pulled in. For a native mobile build, you are the one submitting to the App Store or Google Play, and their review policies, permission declarations and privacy disclosures are yours to satisfy.
Vibely is not professional advice. Do not use Generated Output as the sole basis for a legal, medical, financial, employment, housing, insurance, credit or safety decision — the Acceptable Use Policy says the same thing, and a person who is accountable for the decision has to review it. Generated Output is not warranted to be accurate or fit for any particular purpose.
9. Plans, billing, and credits
Paid plans are billed in advance on a monthly or yearly basis, in US dollars. Each cycle your plan grants a credit allowance. On a paid plan, credits you have not spent when the cycle renews roll over once: they stay spendable through the following cycle and expire at the end of it. On the Free plan the monthly allowance tops your balance up to the allowance rather than accumulating. Every plan, Free included, also receives daily credits in the amount shown at Pricing: they refill at 00:00 UTC each day, are not carried over to the next day, and are spent before any other credits. Credits are prepaid units you buy or receive to use the service — they are not money, are not redeemable for cash, and are consumed as you build. Our metering of credit consumption is the record we bill from, as set out at Product Terms.
10. Auto-renewal, cancellation, and price changes
Subscriptions renew automatically at the end of each billing cycle at the then-current rate until you cancel. There is no cancellation deadline: cancel any time before the renewal date and the next charge does not happen. Cancelling is self-serve in your account settings and takes effect at the end of the cycle you have already paid for. If a renewal is charged after you cancelled, that is a billing error — tell us and we reverse it.
Cancelling does not shorten what you paid for. Your plan and every credit in the workspace stay available through the last day of the period you already paid for. On a yearly plan that includes the monthly credit grants for the months still to run. After that day the workspace moves to the free tier, and the credits your plan granted you — the monthly allowance and anything rolled over — are forfeited, because they came with the plan and the plan has ended.
Credits you bought separately as a top-up are not reset by a renewal, are not forfeited by cancelling, and are not cleared by dropping to the free tier. They expire 12 months after the most recent top-up in the workspace (each new top-up restarts the 12 months for the whole top-up balance); any left at that point expire. Top-up credits bought before October 9, 2026 keep at least 12 months from the date they were bought, so no balance bought before then expires earlier than 12 months after its purchase. They are still not refundable in cash. We spend daily credits, rollover and your monthly plan credits before them, so what expires soonest goes first.
Auto top-up is optional and stays off until you turn it on. When you turn it on you choose the size of each top-up, the balance that triggers it, and a monthly spending limit (or no limit), and you save a card with our payment processor, asking your bank to approve automatic charges for the price of the top-up you chose (where one card pays for more than one auto top-up, the approval is for the largest of them). Each auto top-up charges exactly its own price, as stated in its pre-debit notice, and never more. We send that notice at least 24 hours before every charge, giving the amount and the date; turn auto top-up off before then and that charge is not taken. Auto top-up never takes a charge that would carry its spending in a rolling 30-day period past the limit you set; when the next charge would, auto top-up stops until the period resets or you raise the limit. If the price of your auto top-up goes above what your card is approved for — because you chose a larger top-up, or your plan’s rate went up — you approve the card again for the new amount, and until you do the higher charge is not taken. Credits bought by auto top-up are top-up credits, on the terms in the paragraph above.
If the card or mandate behind a renewal fails or is revoked at your bank, we may retry the charge. If it keeps failing we suspend the paid plan and the workspace moves to the free tier. We do not carry an unpaid balance forward.
We can change our prices. We will not change the price of a subscription during a cycle you have already paid for, and we will give you at least 30 days’ notice by email before an increase takes effect, so you can cancel before the renewal and never pay the new price.
We price and charge in US dollars only. If your card is issued in another currency, what you pay locally moves with your bank’s exchange rate and any cross-border fee it charges. That movement is not a price change by us, and it is not something we control.
11. Billing disputes and chargebacks
If you believe a charge is incorrect or was taken twice, email [email protected] within 30 days of the charge date, from the address on the account. Charges not disputed within 30 days are treated as accepted for the purposes of our own billing process.
That 30 days is our process, not a limitation period. It does not shorten any deadline the law gives you: an Indian consumer has two years from the date the cause of action arises under section 69 of the Consumer Protection Act, 2019, and a consumer elsewhere has whatever period their own law gives them. We do not assert the 30 days against a statutory claim.
Please contact us before disputing a charge with your bank; a billing error is usually faster to fix directly. If you do open a chargeback, we suspend the paid features and the credits in that workspace while the bank holds the money, and we restore them the day the dispute closes. Your projects, your source code and your published apps keep running throughout. Raising a chargeback is not a breach of these Terms and we do not treat it as one.
12. Taxes
Prices are stated exclusive of tax. You are responsible for all transaction taxes arising from your purchase — sales, use, VAT, GST and any equivalent — other than taxes on our income. You must give us a correct billing address and, where your jurisdiction requires one, a valid tax registration number. We do not calculate or collect tax at checkout today: you are charged the listed price in US dollars. If we are required to collect or withhold a tax, we will add it to your invoice and tell you before we do. Our company registration details are set out under “India: the disclosures the E-Commerce Rules require” below.
13. Refunds and cancellation
Except where required by law, all fees are non-refundable. That covers subscription fees, credit purchases, seat charges, and AI access purchases alike. A billing period you did not use, or used only in part, is not refundable and is not credited forward. Reducing your plan, seat count, or credit volume part-way through a period takes effect at the next renewal and creates no refund, proration, or credit.
Credits are prepaid units you spend to run agent work. They are not money and not a stored-value instrument. Except where required by law they are non-refundable, and they are not redeemable for cash, transferable between workspaces, or exchangeable for any other value. Granted and promotional credits can expire or be withdrawn, and the allowance on your plan resets or rolls over as described above. Credits you bought as a top-up expire 12 months after the most recent top-up in the workspace (each new top-up restarts the 12 months for the whole top-up balance), or earlier if the account ends.
Spent credits are not returned — not for a result you did not like, not for a build you decided to start over, and not for work you later deleted.
You may cancel at any time in your account settings. Cancelling stops the next renewal and takes effect at the end of the period you have already paid for; it does not refund the period you are in. What happens to your plan credits and your top-up credits when that period ends is set out in “Auto-renewal, cancellation, and price changes” above.
A charge that is incorrect or duplicated is the one thing we reverse as a matter of course: raise it within 30 days as above and we correct our own billing errors. Where we approve a reversal it goes back to the original payment method — we initiate within 7 days of accepting it, and your bank or card issuer typically takes a further 5–10 business days to post it.
If we terminate your account or the Services for your material breach of these Terms or of the Acceptable Use Policy, or for fraud or abuse, any remaining credits are forfeited and the fees for the period you are in are not refunded, except where the law that applies to you requires otherwise. If we terminate for a reason not attributable to you, or we stop offering the service, any remaining credits are applied against fees owed through the effective date of termination and then expire. If you delete your account, all unused credits — plan credits and top-up credits alike — are forfeited, so spend or export before you do.
We sometimes return money in a case these Terms do not require us to. Doing that once does not oblige us to do it again, for you or for anyone else. It is not a variation of these Terms, it does not establish a course of dealing, and it is not a waiver of the non-refundable rule or of any other term.
Nothing in these Terms limits any statutory refund, cancellation, or withdrawal right you may have as a consumer. Where you have such a right, you have it, and you do not need to rely on this section to use it. Email [email protected] from the address on the account.
14. India: the disclosures the E-Commerce Rules require
We sell our own service directly, which makes us an inventory e-commerce entity under the Consumer Protection (E-Commerce) Rules, 2020. Those Rules require the following to be published where you can find it. It is here — this is the one place on the site that carries the full entity details.
- Legal name: Mana Intelligence Private Limited. CIN U62013TS2026PTC210050, incorporated in India on 21 January 2026.
- Principal geographic address of our headquarters: SY No. 72, 3rd Floor, 141, Raghavendra Colony, Balaji Nagar, Kaithalapur, Kukatpally, Hyderabad, Rangareddy, Telangana 500085, India. We have no branch offices.
- Website: https://vibely.sh. Apps our customers publish are served from subdomains of vibelyagent.com and from domains they connect.
- Customer care: [email protected] for the product and [email protected] for billing and refunds. We answer in writing. We do not operate a telephone or fax line for customer care, and we would rather say that than print a number nobody picks up.
- Grievance Officer and nodal contact person, both resident in India: Benna Bala Krishna, Director, at [email protected]. Rule 4(4) allows 48 hours to acknowledge and one month to redress. We hold ourselves to the shorter clock in India's IT Rules 2021 instead — acknowledged within 24 hours, disposed of within 15 days — and we apply it to consumer complaints as well as to content grievances.
- Deficient service is refundable, whatever the section above says. Under rule 7(2) we will not refuse to withdraw or discontinue a service, or refuse to refund what you paid for it, where the service is defective or deficient or is not what we advertised. If that is what happened, tell us at [email protected] and we refund it. "Payments are non-refundable" does not displace this.
- Refunds we accept are paid out to the original payment method: we initiate within 7 days of accepting, and your bank or card issuer typically takes a further 5–10 business days to post it (rule 4(11)).
- Payments are processed by Razorpay. We never receive or store your full card number. Charging in US dollars only, and what a chargeback does to your workspace, are described in "Auto-renewal, cancellation, and price changes" and "Billing disputes and chargebacks" above.
- We record your agreement to these Terms only from an explicit action you take — clicking to create the account, or clicking to pay. There are no pre-ticked boxes anywhere in sign-up or checkout, which is what rule 4(10) requires.
- We do not adopt unfair trade practices (rule 4(6)). We do not post reviews of ourselves, we do not misrepresent what Vibely can do, and we do not manipulate the price of a service to make an unreasonable gain.
15. Third-party services
When you connect Vibely to third-party services (GitHub, Supabase, Stripe, etc.), your use of those services is governed by their respective terms. Vibely is not responsible for the availability, security, or behavior of third-party services, or of the AI model providers and infrastructure the platform depends on.
16. Confidentiality
"Confidential Information" means non-public technical, business, or product information disclosed by one party to the other in connection with the service.
Each party agrees to: (a) keep the other party's Confidential Information confidential using at least reasonable care; (b) use it only for the purpose of using or providing the service; and (c) not disclose it to third parties without written consent.
These obligations do not apply to information that is publicly available, already known to the recipient without restriction, received from a third party without restriction, or independently developed. If required by law or court order to disclose Confidential Information, the party required to disclose will give reasonable prior notice to allow the other party to seek a protective order.
17. Indemnification
If you use Vibely in the course of a business, you cover us against claims a third party brings against us because of (a) your content, (b) your breach of these Terms, or (c) your breach of the law. "Cover" means the damages finally awarded against us or agreed in a settlement you approved, and the reasonable legal costs of defending the claim. It does not extend to any part of a claim caused by our own breach, our negligence or our unlawful act, and it is reduced in proportion to our share of the responsibility.
If you are an individual using Vibely for your own personal purposes rather than for a business, this indemnity does not apply to you at all. An open-ended promise to pay our legal bills is not a term a consumer court in India, the EU or the UK would enforce against a consumer, and we would rather say so here than write a clause we could not use.
The other way round: we will defend you against a third-party claim that the Vibely platform itself infringes a patent, copyright or trademark, and we will pay the damages and the reasonable legal fees that result. This one runs on paid plans, and it covers the platform we built — never Generated Output, and never your content, which for this purpose includes what the models generate for you. You have to give us prompt written notice, let us control the defence, and cooperate when we reasonably ask. It does not apply where the claim comes from your modification of the platform, from combining it with third-party software, or from a use these Terms do not permit.
Whichever of us is defending the other: we will notify you promptly of a claim, we will not settle in a way that requires you to admit wrongdoing or takes on an ongoing obligation for you without your consent, and the same applies to you. A failure to give prompt notice or to cooperate only excuses the defending party to the extent it materially prejudiced the defence.
18. Termination
You can cancel at any time from your account settings, and you can close the account entirely from the same place. One thing the product will not do for you: if you own a workspace that still has other members in it, delete or transfer that workspace first — we will not delete an account out from under the people sharing it.
We can suspend or terminate your account for material breach of these Terms or of the Acceptable Use Policy, for fraud or abuse, for non-payment after we have told you and given you 7 days to fix it, or where the law or a valid legal order requires it. Where the problem is not urgent we tell you first and give you a chance to put it right. Where it is urgent — phishing, malware, CSAM, an active attack on someone else — we act first and tell you afterwards.
A material breach is one serious enough to defeat the point of the contract: not paying, breaching the Acceptable Use Policy, or a breach we asked you in writing to fix that you did not fix within the time we gave you. Being difficult, unprofitable or critical of us is not a material breach. Fraud and abuse mean what the Acceptable Use Policy describes, not whatever we would like them to mean on the day.
If we suspend or terminate you and you think we got it wrong, say so: the appeal route is at Report abuse and appeal a decision, and a human reads it. We tell you the reason for the decision when we make it, unless the law stops us saying.
We can also terminate for convenience, or discontinue Vibely, on at least 30 days’ notice by email. If we do that, any remaining credits are applied against fees owed through the effective date of termination, after which they expire. Use the 30 days to export your projects.
When an account is terminated or closed, a Published App stops being served. On a subdomain of vibelyagent.com the hostname stops resolving. On a domain you connected, we remove the routing and the certificate at our edge and the domain stops reaching your app — the domain itself stays registered to you, and you should remove the DNS records you created, as Domain Registration and Custom Domain Terms explains.
What happens to your data: deletion is immediate and irreversible. Deleting a project tears down its published site, purges its storage and uploaded files, and removes the project record in the same operation. There is no grace period, no undo, and we cannot restore it. When you close your account we delete your personal data within 30 days, except records the law requires us to keep — tax and accounting records, and anything under an open dispute. Export everything you want to keep before you delete anything. The Privacy Policy and the Data Processing Agreement govern the detail and say the same thing.
19. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by applicable law. We do not warrant that the service, the hosting of a Published App, or any generated output will be uninterrupted, secure, error-free, free of harmful code, or suitable for your intended use. Availability is committed separately, and only, in our Service Level Agreement.
20. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, even if advised of the possibility.
The aggregate liability of Mana Intelligence Private Limited — us, the company that operates Vibely — arising out of or relating to the service will not exceed the greater of (a) the amounts you paid us in the 6 months before the date the claim first arose, or (b) USD 100. The lookback runs from the date the claim first arose, not the date you bring it, and the cap applies across all claims together rather than once per claim.
For claims related to our breach of confidentiality or data protection obligations, the liability cap is 2× the amount above.
These limits apply however a claim is framed — contract, tort including negligence, statute, or anything else — and to the maximum extent the law allows. They do not apply to death or personal injury caused by our negligence, to fraud or fraudulent misrepresentation, to gross negligence or wilful misconduct, or to any other liability the law says cannot be limited.
Three of your obligations also sit outside the cap, because a cap on them would leave us with no remedy at all: your indemnity obligations above, your breach of the confidentiality obligations above, and your obligation to pay fees when they fall due.
Two of ours sit outside it too, so that the cap cannot be read as making them worthless. First, money we owe you back is not capped: a refund these Terms require, a service credit under the Service Level Agreement, and a charge we took in error. Returning your own money is not damages and the cap does not touch it. Second, the cost of defending you under the platform indemnity above is not counted against the cap; damages we pay under that indemnity are.
We both enter into these Terms relying on this section. It is an essential basis of the bargain and the prices we charge reflect it.
21. Force majeure
Neither party is liable for failure or delay in performance caused by circumstances genuinely beyond its reasonable control: natural disaster, war, pandemic, government action, or the failure of a network, data centre or power supply we do not operate. An act of a third party counts only where we could not reasonably have prevented it or worked around it — a supplier or subcontractor we chose letting us down is our problem, not a force majeure.
This does not excuse payment obligations, and it is not indefinite. If a force majeure stops us providing the service for more than 30 days in a row, either of us may terminate by written notice, and we refund the unused prepaid portion of your fees pro-rata.
22. Notices
Formal notice under these Terms — termination, a dispute notice, anything these Terms require in writing — is given as follows.
- To us: by email to [email protected], or in writing to Mana Intelligence Private Limited, SY No. 72, 3rd Floor, 141, Raghavendra Colony, Balaji Nagar, Kaithalapur, Kukatpally, Hyderabad, Rangareddy, Telangana 500085, India.
- To you: by email to the address on your account, or by a notice shown inside the product. Keep that address current — a notice sent to it is effective whether or not you read it.
- A notice by email is effective the next business day. A notice sent by post is effective 7 days after we send it.
23. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent, which we will not withhold unreasonably where you are transferring your whole business. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you — but only to someone who takes on every obligation in them, including the refund and data-protection ones. An assignment cannot be used to reduce what you are owed. Any unauthorized assignment is void.
24. Export and sanctions
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not on any government prohibited-party list, are not owned or controlled by anyone on one, and are not located in a country subject to a comprehensive trade embargo. You will not use the service in any country or for any purpose prohibited by applicable law. We may suspend or close an account where we have to in order to comply with sanctions or export law.
25. Severability
If a court or regulator finds any term here invalid or unenforceable, that term is narrowed to the minimum that makes it enforceable, or removed if it cannot be. The rest of these Terms keeps working. A term struck down in one country stays in force everywhere it is valid.
26. No waiver
Any delay or failure on our part to enforce a provision of these Terms is not a waiver of our right to enforce it later. If we do something for you that these Terms do not require of us — a refund we did not owe, an extension, a limit we chose not to enforce — that is a one-off. It does not change these Terms, it is not a course of dealing, and it does not oblige us to do the same thing again.
27. Entire agreement
These Terms, the documents listed in "Documents that form part of these Terms", and any Order form we have both signed are the entire agreement between us about Vibely, and replace anything said or written before. Nothing on our marketing pages, in a sales conversation, or in a demo forms part of this contract, and you confirm you are not relying on any statement that is not written in those documents. That does not exclude liability for fraud or fraudulent misrepresentation, and it does not affect rights you have as a consumer.
28. Third-party beneficiaries
These Terms are between you and us, and nobody else can enforce them. The one exception: our group companies, directors, officers, and employees may rely on the disclaimers, the limitation of liability, and your indemnity in these Terms.
29. Governing law and jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts at Hyderabad, Rangareddy district, Telangana, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and both of us submit to that jurisdiction. That is where the company carries on business, which is what makes the choice a valid one under section 20 of the Code of Civil Procedure, 1908.
Nothing in this section takes away a right you have under the mandatory consumer law of the country you live in. An Indian consumer may complain to the District Consumer Disputes Redressal Commission where they live under section 34(2)(d) of the Consumer Protection Act, 2019, and this clause does not stop them.
Before either of us files anything, tell the other. Email a description of the dispute to [email protected]. If it is not resolved 45 days after that notice is received, either of us may go to court. This does not stop either of us asking a court for an injunction or other urgent relief at any time.
30. How claims are brought
To the fullest extent the law allows, any claim between us must be brought on an individual basis, and not as a plaintiff or class member in a class, consolidated, or representative proceeding. Where the law does not allow that — including a complaint brought by or for numerous consumers with the same interest under section 35(1)(c) of the Consumer Protection Act, 2019 — this paragraph does not apply and we do not assert it.
Where a right to trial by jury exists and can be waived, each of us waives it. Indian courts do not try civil claims by jury, so this matters only where you can bring a claim somewhere that does.
We have not agreed to arbitration. There is no arbitration clause in these Terms, we have retained no arbitration provider, and neither of us is required to arbitrate anything.
31. Survival
Termination does not end these sections, which continue to apply: Refunds and cancellation, Taxes, Billing disputes and chargebacks, Confidentiality, Indemnification, Disclaimers, Limitation of liability, Notices, Assignment, Severability, No waiver, Entire agreement, Third-party beneficiaries, Governing law and jurisdiction, How claims are brought, and this section. Anything else that by its nature should outlive the agreement does.
The licence you grant us in "Your content" is the one that does not survive: it ends when you delete the content or close your account, exactly as that section says.
32. Changes to these Terms
We may update these Terms. For a material change — one that reduces your rights or increases your obligations — we give at least 14 days’ notice before it takes effect, by email to the address on your account or by a notice in the product.
A correction that makes a document match what the product already does, and a change the law requires us to make immediately, is published straight away.
A material change does not reach into a period you have already paid for. If you cancel before it takes effect, the version of these Terms you agreed to governs your plan until the last day of that period. Continuing to use Vibely after the effective date is acceptance. Where the change is a price increase, the 30 days’ notice in "Auto-renewal, cancellation, and price changes" applies instead of the 14 days here.
